Mutual of Omaha’s board of directors has adopted these Corporate Governance Standards for the benefit of policyholders.

Daniel P. Neary, age 58, has been Chairman of the Board and Chief Executive Officer of Mutual of Omaha since December 2004. He previously served as President from August 2003 until December 2004. Mr. Neary joined Mutual of Omaha as an actuary in 1976 and held a number of positions, including Executive Vice President in charge of the Group Benefit Services business unit from 1999 until August 2003. Mr. Neary is also a member of the Board of Directors of Valmont Industries. He has been a Director of Mutual of Omaha since August 2003 and serves on the Executive and Investment Committees.

Robert L. Clarke, age 68, is a Senior Partner at the law firm of Bracewell & Giuliani LLP in Houston, Texas.  He joined the firm in 1969 and in 1985 he was appointed U.S. Comptroller of the Currency, serving until 1992, at which time he rejoined Bracewell & Giuliani.  Mr. Clarke also serves on the Boards of Eagle Materials, Inc., First Investors Financial Group, Inc. and Stewart Information Services Corporation.  He has been a Director of Mutual of Omaha since November 2008 and serves on the Audit and Investment Committees. 

W. Gary Gates, age 60, is President and Chief Executive Officer of Omaha Public Power District (OPPD), one of the largest publicly owned electric utilities in the United States.  Mr. Gates joined OPPD in 1972 and held a variety of positions before being named President and CEO in 2004. He has been a Director of Mutual of Omaha since March 2007 and serves on the Corporate Governance and Investment Committees.

Jeffrey M. Heller, age 71, retired from Electronic Data Systems (EDS) as Vice Chairman of the Board in August 2008.  Mr. Heller joined EDS' systems engineering program in 1968. Mr. Heller also is a member of the Board of Directors of Temple-Inland, Inc. He has been a Director of Mutual of Omaha since June 1998 and currently serves as Lead Independent Director as well as Chairman of the Compensation and Evaluation Committee. He is also a member of the Executive and Investment Committees.

Derek R. McClain, age 55, was a partner in the law firm of Vinson & Elkins LLP before joining Trammell Crow Company in 1998 as its General Counsel. In 2000, Mr. McClain was named Chief Financial Officer of Trammell Crow and served in that position until late 2006.  He has been a Director of Mutual of Omaha since December 2007. He currently serves as Chairman of the Audit Committee and is a member of the Corporate Governance Committee. 

James G. McFarlane, age 55, is Executive Vice President, Brokerage Services Division, and Chairman of the Western Region for Arthur J. Gallagher Insurance Brokers, serving in this position since 1991. Mr. McFarlane has been a Director of Mutual of Omaha since May 2003 and serves as Chairman of the Executive Committee, as well as being a member of the Compensation and Evaluation and Corporate Governance Committees. 

Paula R. Meyer, age 56, has over 25 years of experience in the mutual fund industry.  Mrs. Meyer began her career with the Vanguard Group and most recently with Ameriprise Financial, Inc. (formerly American Express Financial Corp.), serving as President of RiverSource Funds and Ameriprise Certificate Company until 2006.  She has been a Director of Mutual of Omaha since September 2009 and serves as a member of the Audit and Investment Committees. 

Richard W. Mies, age 66, retired from the U.S. Navy in the rank of Admiral in 2002.  Admiral Mies is President and Chief Executive Officer of the Mies Group, Ltd., a private consulting firm.  He previously served as President and Chief Executive Officer of Hicks and Associates, Inc., a wholly owned subsidiary of Science Applications International Corporation.  Admiral Mies has been a Director of Mutual of Omaha since 2002 and also serves on the Boards of Directors of The Babcock & Wilcox Company and Exelon Corporation. He currently serves as Chairman of the Strategic Advisory Group for U.S. Strategic Command and Chairman of the Board of the Naval Submarine League. He is a member of the Committee on International Security and Arms Control of the National Academy of Sciences, the Board of Governors of Los Alamos National Laboratory and Lawrence Livermore National Laboratory.

Anthony J. Principi, age 66, is Senior Vice President of Pfizer, Inc., serving as counselor to the Chairman and CEO. From 2001-2005, Mr. Principi served as Secretary of the United States Department of Veterans Affairs.  He has been a Director of Mutual of Omaha since May 2005. Mr. Principi serves as Chairman of the Investment Committee and is a member of the Audit Committee.
