Mutual of Omaha’s board of directors has adopted these Corporate Governance Standards for the benefit of policyholders.
Daniel P. Neary, Age, 60, has been Chairman of the Board and Chief Executive Officer of Mutual of Omaha since December 2004. He previously served as President from August 2003 until being elected to his current position. Mr. Neary joined Mutual of Omaha as an actuary in 1976 and held a number of positions in the Group products area, including Executive Vice President in charge of that strategic business unit. He is also a member of the Board of Directors of Valmont Industries. Mr. Neary has been a Director of Mutual of Omaha since August 2003 and serves on the Executive and Risk Committees.
Robert L. Clarke, Age 69, is a Senior Partner at the law firm of Bracewell & Giuliani LLP in Houston, Texas. He joined the firm in 1969 and founded the firm’s financial institutions practice. In 1985, he was appointed by President Ronald Reagan as U.S. Comptroller of the Currency, serving until 1992, at which time he rejoined Bracewell & Giuliani. He also serves on the boards of Stewart Information Services Corporation and Eagle Materials, Inc. Mr. Clarke has been a Director of Mutual of Omaha since November 2008. He is Chair of the Risk Committee and serves on the Investment Committee.
W. Gary Gates, Age 61, is President and Chief Executive Officer of Omaha Public Power District (OPPD), one of the largest publicly owned electric utilities in the United States. Mr. Gates joined OPPD in 1972 and held a variety of positions before being named President and CEO in 2004. He has been a Director of Mutual of Omaha since March 2007. He currently serves on the Risk Committee and is Chair of the Corporate Governance Committee.
Jeffrey M. Heller, Age 72, retired from Electronic Data Systems (EDS) as Vice Chairman of the Board in August 2008. Mr. Heller joined EDS’ systems engineering program in 1968. He has been a Director of Mutual of Omaha since June 1998 and currently serves as Lead Independent Director. He is a member of the Executive and Risk Committees and is Chair of the Compensation and Evaluation Committee.
Mary Pat McCarthy, age 57, retired from her position as Vice Chair of KPMG LLP, the U.S. member firm of the global audit, tax and advisory services firm, in 2011. She joined KPMG LLP in 1977 and was admitted to partnership in 1987. She held numerous senior leadership positions including Executive Director of the KPMG Audit Committee Institute; Leader of the KPMG Client Care Program; U.S. Leader, Industries and Markets; and Global Leader, Information, Communication and Entertainment Practice. Mrs. McCarthy also served on the firm’s Management and Operations Committees. She was elected to the Board of Mutual of Omaha in May 2012 and serves on the Audit and Corporate Governance Committees.
Derek R. McClain, Age 56, is a financial and management consultant and in that capacity has most recently served as interim Chief Financial Officer of CBRE Investors, the real estate investment management affiliate of CBRE Group, Inc. He began his career with the law firm of Vinson & Elkins LLP, where he practiced corporate finance and securities law. Mr. McClain has also served as General Counsel and Chief Financial Officer for Trammell Crow Company. He has been a Director of Mutual of Omaha since December 2007. He is a member of the Risk Committee and is Chair of the Audit Committee.
James G. McFarlane, Age 56, is Executive Vice President, Brokerage Services Division, and Chairman of the Western Region for Arthur J. Gallagher Insurance Brokers, one of the world’s largest insurance brokers. Mr. McFarlane has been a Director of Mutual of Omaha since May 2003. He serves on the Audit and Investment Committee and is Chair of the Executive Committee.
Paula R. Meyer, Age 58, has over 25 years of experience in the mutual fund industry. Mrs. Meyer began her career with the Vanguard Group and most recently served as President of RiverSource Funds and Ameriprise Certificate Company with Ameriprise Financial, Inc. (formerly American Express Financial Corp.) Mrs. Meyer also serves on the Board of Directors of the Federal Home Loan Bank of Des Moines. She has been a Director of Mutual of Omaha since September 2009 and serves on the Compensation and Evaluation and Corporate Governance Committees. She is also Chair of the Investment Committee.
Richard W. Mies, Age 68, is President and Chief Executive Officer of Mies Group, Ltd., a private consulting firm. He previously served as President and Chief Executive Officer of Hicks and Associates, Inc., a wholly owned subsidiary of Science Applications International Corporation (SAIC). He retired from the United States Navy with 35 years of service, the last four commanding the United States Strategic command. Admiral Mies has been a Director of Mutual of Omaha since March 2002 and is a member of the Audit, Executive and Investment Committees.
Anthony J. Principi, Age 68, recently retired as Senior Vice President of Pfizer, Inc. and counselor to the Chairman and CEO. From 1989-2005, Mr. Principi served with the United States Department of Veteran Affairs, as Deputy Secretary of Veterans Affairs and as Secretary of Veterans Affairs, responsible for the nation’s largest integrated healthcare system and a national program of educational, housing, insurance, disability and vocational rehabilitation for America’s veterans. He has been a Director of Mutual of Omaha since 2005. Mr. Principi is a member of the Compensation and Evaluation and Corporate Governance Committees.
